CCHSBPA Bylaws

Article I – General Section 1. Name. The name of this organization shall be CHERRY CREEK HIGH SCHOOL BAND PARENTS ASSOCIATION (CCHSBPA).

Section 2. Principal office.  The principal office of the CCHSBPA shall be in Arapahoe County, Colorado.  The mailing address of the organization shall be:

CCHSBPA may have such other offices as may from time to time be designated by its members or its Executive Committee.

Article II – Objectives Section 1.  The objectives of Cherry Creek High Band Parents Association shall be as follows:

Article III – Powers Section 1. In furtherance of and within the objectives described above, the CCHSBPA shall have the power to do the following:

Article IV – Membership Section 1. Active Membership. Any parent or guardian of a Cherry Creek High School band student is an active member of the CCHSBPA.

Section 2. Honorary Membership.  Any person, firm, corporation, company or foundation in any way interested in the activities of the CCHSBPA may be awarded honorary membership under such terms and with such privileges as the Executive Committee may determine.

Section 3. Voting.  Each active member shall be entitled to one vote in the affairs of the CCHSBPA.

Article V – Officers Section 1. Elective Officers.   The elective officers of CCHSBPA shall be a President, a First Vice President, a Second Vice President, a Treasurer, a Recording Secretary, and a Communication Secretary.  Other offices and officers may be established or appointed by the President, with the advice of the Executive Committee.

Section 2. President.  The President shall be the chief officer of the organization and shall be present at meetings of the general membership and of the Executive Committee.  The President shall be a member ex-officio of all committees.  The President shall communicate to the organization such matters and make such suggestions as may in their opinion tend to promote the welfare and increase the usefulness of the organization.  The President shall appoint such committees and committee heads as may be required in the pursuit of the objectives of the CCHSBPA.

Section 3A. First Vice President or Co-President.  The First Vice President shall act in the place and stead of the President during the absence of the President or the inability of the President to act.  The First Vice President shall also have such duties as may be delegated by the President. The First Vice President or Co-President is a member of the Executive Committee.

Section 3B. Second Vice President. The Second Vice President shall act as a member of the Executive Committee and shall also have such duties as may be delegated by the President.

Section 4. Treasurer. The Treasurer shall keep an account of all monies received and expended and shall make disbursements authorized by the Executive Committee or Director(s).  All sums received shall be deposited by the Treasurer in the bank or banks approved by the Executive committee. The Treasurer shall make a report at each general meeting, at each Executive Committee meeting, or when called upon by the President or Director(s). Funds may be drawn or disbursed by the Treasurer for amounts under $1,000.00. Funds may be drawn or disbursed by the Treasurer, after authorization by another officer or Director for amounts over $1,000.00. The Treasurer shall be a member of the Executive Committee. The funds, books and vouchers shall at all times be subject to verification and inspection by the Executive Committee, Director(s) and by any other persons recognized by the Executive Committee. Tax filings shall be prepared by an independent person / company to allow for separation of duties. The Treasurer shall prepare an annual report of the transactions and financial condition of the CCHSBPA. The Treasurer shall deliver to their successor all books, financial records and other CCHSBPA property.

Section 5. Recording Secretary.  The Recording Secretary shall attend all meetings of the organization and of the Executive Committee and shall keep a recording of the proceedings.  The Recording Secretary shall keep a current list of all committee chairperson and shall receive and record all committee reports. The Recording Secretary shall perform such other duties as may be defined by the Executive Committee. The Recording Secretary is a member of the Executive Committee.

Section 6. Communication Secretary.  The Communication Secretary shall give notice of all meetings.  The Communication Secretary shall conduct correspondence and carry into execution all orders, votes, and resolutions not otherwise committed.  The Communication Secretary shall be in charge of publishing a newsletter to the members and preparing a directory. The Communication Secretary is a member of the Executive Committee.

Section 7. Terms of Office.  The officers shall take office immediately upon their election or as appointed and shall serve a term of one year or until the time set for new election.  Officers are eligible for re-election.  Vacancies in any office may be filled for the balance of an unexpired term by appointment of the Executive Committee.

Section 8. Records.  It shall be the responsibility of all officers to keep accurate records of all official transactions and to provide the newly elected officers with these records.

Article VI- – Meetings Section 1. General membership meetings.  There shall be at least one general meeting of the membership each year, for the elections of officers, receiving of reports and the transaction of other business.  Additional meetings may be called as may be determined necessary by the President and/or Executive Committee.  Meetings shall be open to active members.  Notice of such meeting shall be provided to the membership.

Section 2. Executive Committee meetings.  Meetings of the Executive Committee will be held periodically as shall be determined by the President and/or Executive Committee

Section 3. Quorum.  A quorum shall be those members in attendance at a duly called meeting.

Article VII – Elections Section 1. Officers. The election of officers shall take place annually at the general membership meeting.  Any active member shall be eligible for office.  A majority of the votes cast shall elect.

Article VIII – Committees Section 1. Executive Committee.  The Executive Committee shall consist of the elected officers of the CCHSBPA, and the band director(s) as an ex-officio member.

The Executive Committee shall have supervision, control and direction of the affairs of the CCHSBPA, shall execute the policies and decisions of the members, and shall actively pursue the CCHSBPA objectives, and shall have discretion in the disbursement of funds.  It may adopt such rules for the conduct of its business as shall be deemed advisable and may, in the execution of powers granted, appoint subcommittees or agents to work on specific problems or reports.  The Executive Committee shall have regular meetings upon the call of the President.

Section 2.  The President shall, with the advice of the Executive Committee, appoint such committees and committee heads as may be required in the pursuit of the objectives of the CCHSBPA.

Article IX – Email Vote Section 1. Whenever in the judgment of the Executive Committee any question shall arise which it considers should be put to a vote of the active membership, and when it deems it inexpedient to call a special meeting for that purpose, it may, unless otherwise required by these By-laws, submit the matter to the membership in writing by e-mail for vote and decision, and the question thus presented shall be determined according to a majority of the votes received by e-mail within one week after such submission to the membership.

Article X – Amendments Section 1. These By-laws may be amended, repealed, or altered in whole or in part, by a majority vote at any duly organized meeting of the BPA.

Article XI – Liabilities Section 1.  Nothing herein shall constitute members of the CCHSBPA as partners for any purpose.  No member, officer, agent of employee shall be liable for the acts or failure to act of any other member, officer, agent or employee of CCHSBPA.  Nor shall any member, officer, agent or employee be liable for their acts or failure to act under these by-laws, excepting only acts or omissions arising out of their willful malfeasance.

Article XII – Funds Section 1. Finances.  This organization shall use its funds only for objectives and purposes specified in these by-laws.

Section 2. Persons entrusted with the handling of CCHSBPA funds may be required, at the discretion of the Executive Committee, to furnish at CCHSBPA expense a suitable fidelity bond, or participate in an audit process.
